BAKER AIR CONDITIONING

TERMS OF SERVICE

Effective Date: February 16, 2026

1. ACCEPTANCE OF TERMS

By engaging Baker Air Conditioning ('Company,' 'we,' 'us,' or 'our') for heating, ventilation, and air conditioning (HVAC) services, you ('Customer,' 'you,' or 'your') agree to be bound by these Terms of Service ('Terms'). Please read these Terms carefully before using our services. If you do not agree to these Terms, do not engage our services.

2. SERVICES PROVIDED

Baker Air Conditioning provides the following services:

Installation of HVAC systems and equipment
Repair and maintenance of air conditioning, heating, and ventilation systems
Emergency HVAC services
Preventative maintenance programs and service agreements
Indoor air quality assessments and solutions
HVAC system inspections and consultations

All services will be performed in accordance with industry standards and applicable local, state, and federal regulations.

3. ESTIMATES AND PRICING

3.1 Estimates

Written estimates are provided free of charge for most services. Estimates are valid for 30 days from the date of issuance unless otherwise specified. Final pricing may vary if additional work is discovered during service.

3.2 Pricing

All prices are subject to change without notice. You will be notified of any price increases before work begins if such increases exceed the original estimate by more than 10%. Prices include labor, materials, and applicable taxes unless otherwise stated.

3.3 Diagnostic Fees

A diagnostic fee may be charged for service calls to identify problems. This fee may be waived if you proceed with recommended repairs.

4. PAYMENT TERMS

4.1 Payment Due

Payment is due upon completion of services unless other arrangements have been made in writing. We accept cash, checks, and major credit cards.

4.2 Late Payments

Accounts not paid within 30 days of the invoice date will be subject to a late fee of 1.5% per month (18% annually) or the maximum amount permitted by law, whichever is less.

4.3 Collection Costs

You agree to pay all costs of collection, including reasonable attorney fees, if your account is turned over to a collection agency or attorney for collection.

5. SCHEDULING AND CANCELLATIONS

5.1 Appointment Scheduling

We will make reasonable efforts to arrive during the scheduled service window. Service windows are estimates and may be affected by unforeseen circumstances. We will notify you if significant delays occur.

5.2 Cancellation Policy

If you need to cancel or reschedule an appointment, please provide at least 24 hours' notice. Cancellations with less than 24 hours' notice or no-shows may be subject to a cancellation fee of up to $75.

6. WARRANTIES

6.1 Workmanship Warranty

We warrant our workmanship for a period of one (1) year from the date of service completion. If a defect in our workmanship is discovered during the warranty period, we will repair it at no additional charge.

6.2 Equipment and Parts Warranty

Equipment and parts are covered by the manufacturer's warranty. We will assist you in processing warranty claims, but we are not responsible for manufacturer warranty coverage or limitations.

6.3 Warranty Exclusions

Warranties do not cover:

Damage caused by misuse, neglect, or accidents
Normal wear and tear
Repairs or modifications performed by anyone other than Baker Air Conditioning
Failure to follow recommended maintenance schedules
Acts of God, including but not limited to floods, fires, or severe weather

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAKER AIR CONDITIONING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO OUR SERVICES.

Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

8. CUSTOMER RESPONSIBILITIES

You agree to:

Provide safe and unobstructed access to all equipment requiring service
Secure pets and notify us of any potential hazards on the property
Provide accurate information about the problem and the system
Ensure someone 18 years or older is present during service
Follow all maintenance recommendations provided by our technicians

9. EMERGENCY SERVICES

Emergency services are available 24/7. Emergency service rates apply to after-hours, weekend, and holiday calls and will be disclosed at the time of scheduling. Emergency services are prioritized based on severity and availability of technicians.

10. MAINTENANCE AGREEMENTS

Customers who purchase a maintenance agreement receive:

Scheduled preventative maintenance visits
Priority scheduling for repairs
Discounts on repairs and parts
Extended warranty coverage (where applicable)

Maintenance agreements are billed annually and renew automatically unless cancelled in writing at least 30 days before the renewal date. Cancellation does not entitle you to a refund of fees already paid.

11. PERMITS AND COMPLIANCE

Where required, we will obtain necessary permits for installations and major repairs. The cost of permits will be included in your estimate. You are responsible for ensuring that any work performed complies with homeowners' association rules, deed restrictions, or other applicable regulations.

12. INSURANCE AND LICENSING

Baker Air Conditioning is fully licensed, bonded, and insured. We maintain general liability insurance and workers' compensation coverage for all employees. License information is available upon request.

13. DISPUTE RESOLUTION

13.1 Informal Resolution

If you have a dispute with us, please contact us first to attempt to resolve the matter informally. Most disputes can be resolved through direct communication.

13.2 Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in the jurisdiction where the services were performed.

14. INDEMNIFICATION

You agree to indemnify and hold harmless Baker Air Conditioning, its employees, and agents from any claims, damages, or expenses arising from your breach of these Terms or your violation of any law or regulation.

15. PRIVACY

We respect your privacy and will protect your personal information in accordance with applicable privacy laws. We collect information necessary to provide our services, including your name, address, contact information, and payment details. We do not sell or share your personal information with third parties except as necessary to provide our services or as required by law.

16. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website or upon written notice to you. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

17. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the state in which services are performed, without regard to its conflict of law provisions.

18. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

19. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Baker Air Conditioning regarding our services and supersede all prior agreements and understandings, whether written or oral.
